Voirem Terms of Use

Welcome to Voirem! These Terms of Use ("Terms") govern your access to and use of the Voirem mobile application (the "App"), provided by [Your Company Name/Voirem] ("we," "us," or "our").

1. Acceptance of Terms

By accessing or using the App, you signify that you have read, understood, and agree to be bound by these Terms, whether or not you are a registered user of our App. If you do not agree with these Terms, you must not use or access the App. We reserve the right to amend these Terms at any time and without notice. If we do so, we will post the modified Terms on this page and indicate the date of the last revision. Your continued use of the App after any such changes constitutes your acceptance of the new Terms. It is your responsibility to regularly check this page for any changes.

2. Eligibility

You must be at least 13 years old to use the App. By using the App, you represent and warrant that you are at least 13 years old and have the legal capacity to enter into these Terms. If you are under 18, you represent that you have reviewed these Terms with your parent or legal guardian and that they agree to these Terms on your behalf.

3. User Accounts and Security

• Account Creation: While the core functionality of Voirem is available without an account, certain features, such as cloud sync and premium services, may require you to create an account. If you choose to create an account, you agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Account Security: You are responsible for safeguarding your password and for any activities or actions under your account. We encourage you to use strong passwords and to log out of your account after each session. Voirem cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.
• Unauthorized Use: You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. Use of the App

Voirem provides tools for voice recording, organization, transcription, and management of audio content. You agree to use the App only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the App.

4.1. Acceptable Use

• You may use the App for personal, non-commercial purposes to record your own voice memos, lectures, meetings, and ideas.
• You may use the transcription services for content you have the right to transcribe.
• You may organize and manage your recordings and transcripts within the App.

4.2. Prohibited Conduct

• Illegal Recording: You are solely responsible for complying with all applicable laws regarding the recording of conversations in your jurisdiction. Many jurisdictions require the consent of all parties to a conversation before it can be legally recorded. You must obtain all necessary consents before recording any conversation using the App. We are not responsible for your compliance with such laws.
• Intellectual Property Infringement: You must not record, transcribe, or distribute any content that infringes on the intellectual property rights of others.
• Harmful Content: You must not use the App to record, store, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Malware/Viruses: You must not upload or transmit any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
• Unauthorized Access: You must not attempt to gain unauthorized access to any portion or feature of the App, or any other systems or networks connected to the App or to any Voirem server.
• Commercial Use: You must not use the App for any commercial purposes without our express written consent, except for features explicitly designed for business use (e.g., premium features for professionals).

5. Intellectual Property

• Your Content: You retain all rights in and to your voice recordings, transcriptions, and any other content you create, upload, or store using the App ("Your Content"). By using the App, you grant us a limited, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display Your Content solely for the purpose of operating, providing, and improving the App and its features (e.g., sending audio to transcription services, processing for AI features you enable). This license terminates when you delete Your Content from the App.
• Our Content: All intellectual property rights in the App itself, including but not limited to its design, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the property of Voirem or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use in accordance with these Terms.

6. Subscription and Monetization

Voirem offers free access with limited transcription time per month. You can purchase monthly, yearly, or lifetime subscriptions to gain increased transcription time, early access to new AI features, and priority support. All subscriptions are subject to the terms and conditions of the respective app store (Apple App Store or Google Play Store) through which you make your purchase. Payment will be charged to your account at confirmation of purchase. Subscriptions may automatically renew unless auto-renew is turned off at least 24-hours before the end of the current period.

7. Disclaimers and Limitation of Liability

• No Warranty: The App is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that the App will be uninterrupted, secure, or error-free, that defects will be corrected, or that the App is free of viruses or other harmful components.
• Accuracy of Transcriptions: While we strive for high accuracy, AI-powered transcription services may not always be 100% accurate. We do not guarantee the accuracy, completeness, or reliability of any transcriptions generated through the App. You should review and verify all transcriptions.
• AI Feature Limitations: AI features (e.g., summarization, auto-sorting) are provided for convenience and may not always produce desired or accurate results. You should not rely solely on these features for critical tasks.
• Local Storage Responsibility: You are solely responsible for backing up your local recordings and data. We are not responsible for any loss of data stored locally on your device.
• Limitation of Liability: In no event shall Voirem, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the App; (ii) any conduct or content of any third party on the App; (iii) any content obtained from the App; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

8. Indemnification

You agree to defend, indemnify, and hold harmless Voirem and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the App, by you or any person using your account and password; b) a breach of these Terms; or c) your violation of any law or the rights of a third party, including without limitation, any intellectual property or privacy right.

9. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in [Your City, Your State/Country], in accordance with the Commercial Arbitration Rules of the American Arbitration Association (or equivalent arbitration body in your jurisdiction), by one arbitrator. Judgment on the arbitral award may be entered in any court having jurisdiction thereof. Notwithstanding the foregoing, we shall have the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights.

10. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the App.

11. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Voirem regarding the use of the App.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
• Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
